1. Agreement to These Terms

These Terms and Conditions govern the website and educational services offered by Noor V LLC, operating under the brand name Noor Tutoring Co. (“Noor,” “we,” “us,” or “our”).

By checking the agreement box when booking, scheduling an appointment, purchasing services, submitting an intake form, or using Noor’s services, you agree to these Terms and our Privacy Policy.

When services are purchased for a minor, the person booking represents that they are at least 18 years old and are the student’s parent, legal guardian, or another adult legally authorized to arrange the services.

2. Services

Noor may provide services including:

Academic tutoring

Test preparation

Academic coaching

Study-skills support

Educational consulting

Curriculum assistance

Enrichment

Educational planning

Related instructional services

The particular service, tutor, schedule, price, format, and scope may be described on our website, booking page, invoice, package description, written proposal, or other written communication.

A service-specific written agreement or invoice may supplement these Terms. If a more specific written agreement directly conflicts with these Terms, the more specific agreement will control for that service.

3. Services for Minors

Individuals under 18 may not independently purchase or schedule Noor’s services.

A parent or legal guardian must:

Authorize the services

Accept these Terms

Provide or approve student information

Accept payment responsibility

Communicate material safety or scheduling information

Ensure that the student is prepared to participate

The parent or guardian authorizes Noor and the assigned tutor to communicate directly with the student when reasonably necessary for instruction, assignments, scheduling, or educational support.

Noor may require that a parent or guardian be included in communications or present nearby during sessions when reasonably appropriate.

4. Educational Scope

Noor provides educational instruction and support.

Noor does not provide:

Medical care

Mental-health treatment

Psychological diagnosis

Occupational or behavioral therapy

Legal advice

Financial advice

Licensed special-education evaluations

Guaranteed school accommodations

Tutors may adapt instruction based on information supplied by the family, but Noor and its tutors do not diagnose medical, psychological, developmental, or educational conditions.

5. No Guarantee of Results

Academic outcomes depend on many factors outside Noor’s control, including attendance, effort, participation, prior knowledge, assignment completion, school instruction, testing conditions, health, and family support.

Noor does not guarantee:

A particular grade

A particular examination score

Admission to a school, university, or program

A scholarship

Graduation

Passing a class or examination

Completion of an assignment

A specific level or speed of improvement

Employment or professional outcomes

Testimonials and previous client results are examples only and are not promises that another student will obtain the same outcome.

6. Scheduling

Appointments are subject to availability and are confirmed through Acuity Scheduling or another written confirmation from Noor.

Clients are responsible for:

Providing accurate booking information

Reviewing appointment confirmations

Attending at the correct date and time

Accounting for applicable time zones

Maintaining current contact information

Noor may reschedule or cancel an appointment because of illness, emergency, weather, transportation issues, technology failures, safety concerns, or other reasonable circumstances.

When Noor cancels a paid session, Noor will ordinarily provide a reasonable rescheduling option, substitute tutor, service credit, or refund for the affected undelivered session.

7. Recurring Weekly Appointments

A recurring weekly appointment is a time specifically reserved for the student.

A request to permanently pause, release, or change a recurring weekly appointment must be made at least 48 hours before the next scheduled session.

This 48-hour requirement applies to changes involving the standing weekly time. It does not replace the separate cancellation policy for individual sessions.

Noor may release a recurring appointment time because of:

Repeated cancellations

Repeated rescheduling

No-shows

Late or missing payments

Extended absences

Failure to communicate

Inconsistent attendance

Tutor availability or operational needs

A recurring appointment is not guaranteed indefinitely.

8. Cancellations, Rescheduling, and No-Shows

Clients may cancel or request to reschedule an individual session by providing at least 24 hours’ notice.

A cancellation or rescheduling request made less than 24 hours before the scheduled appointment is charged the full session fee or deducted in full from the applicable package.

Failure to attend without notice is considered a no-show and is charged the full session fee.

These charges compensate Noor and the tutor for time that was reserved and could not reasonably be offered to another family.

Noor may make an exception for an emergency in its sole discretion. An exception in one situation does not require an exception in another.

9. Late Arrival

Sessions begin and end at the scheduled times.

When a student or client arrives late:

The session may still end at the originally scheduled time.

The full session fee remains due.

The tutor is not required to extend the session.

The missed time is not automatically credited or rescheduled.

If the student is substantially late and cannot be reached, the appointment may be treated as a no-show.

10. Payments

Payment must be made through a method approved by Noor, which may include Stripe, Zelle, or another disclosed electronic payment method.

Cash is not accepted.

Payment may be required before an appointment, package, or recurring time is confirmed.

Clients authorize Noor and its payment providers to process the amount presented at checkout, on an invoice, or in another written payment request.

Noor may change its pricing for future services or purchases. A pricing change will not ordinarily change the price of a package that has already been fully purchased unless otherwise agreed.

11. Zelle Payments

Zelle payments must be sent only to the payment information provided directly by Noor.

Clients are responsible for verifying the recipient before submitting payment.

A Zelle payment is considered received only after Noor confirms that it was deposited into the correct account.

Noor is not responsible for funds sent to an incorrect recipient, telephone number, email address, or bank account because the sender failed to follow or verify Noor’s payment instructions.

12. Packages

Unless a written package description states otherwise:

Packages must be paid in advance.

Packages are limited to the named student or client.

Packages may not be resold or transferred without written approval.

Package hours must be used within 30 calendar days of purchase.

Unused hours expire at the end of the applicable period.

Late cancellations and no-shows are deducted from the package in full.

Purchasing a package does not guarantee a particular tutor or appointment time.

Purchasing a package does not automatically reserve a recurring weekly appointment.

Where applicable law requires a different result, applicable law will control.

13. Refunds and Credits

Except where required by law or expressly stated in writing, completed purchases and tutoring packages are nonrefundable.

Noor may issue a refund, extension, replacement session, or account credit in its discretion.

A discretionary exception does not modify these Terms or create a right to the same exception in the future.

If Noor permanently cannot provide a prepaid service, Noor may offer:

A substitute tutor

A reasonable rescheduling option

A service credit

A refund for the undelivered portion

14. Payment Disputes

Clients should contact Noor promptly to attempt to resolve payment concerns.

Nothing in these Terms eliminates a client’s lawful payment or consumer-protection rights.

However, a chargeback or payment dispute involving an accurately disclosed and properly charged service may result in suspension of services while the matter is reviewed.

Noor may seek payment of valid outstanding balances and reasonable recovery costs to the extent permitted by law.

15. Tutor Assignment

Noor may provide services through its owner, employees, or independent-contractor tutors.

Purchasing services does not guarantee:

Services personally provided by Noor’s founder

A particular tutor

Permanent availability of the same tutor

A particular schedule

A tutor with a particular personal background or characteristic

Noor may assign or substitute tutors based on subject knowledge, availability, location, student needs, scheduling requirements, conduct, or other legitimate business considerations.

16. Online Tutoring

Online tutoring may use video-conferencing, shared-document, educational, or communication platforms.

The client is responsible for providing:

A functioning device

Adequate internet access

Required software

A reasonably quiet and appropriate learning environment

Materials needed for the session

Appropriate adult supervision when necessary

When a session is materially disrupted by a client-side technology problem, the full session fee may remain due.

When a session cannot reasonably proceed because of a Noor-side technology failure, Noor may reschedule the affected time or provide an appropriate credit.

Noor cannot guarantee that third-party technology platforms will always be uninterrupted, secure, or error-free.

17. In-Person Tutoring and Safety

Clients must provide a reasonably safe, lawful, clean, and appropriate environment for in-person tutoring.

Clients are responsible for:

Providing safe access to the location

Disclosing relevant safety concerns

Securing aggressive or disruptive animals

Preventing smoking or unlawful activity around the tutor

Securing weapons and dangerous materials

Providing appropriate adult access or supervision when requested

Tutoring is not childcare. Noor and its tutors do not assume general custody or supervisory responsibility for a minor outside the scheduled tutoring service.

Noor or a tutor may leave or cancel a session if the environment appears unsafe, threatening, unlawful, or materially unsuitable. The session may remain chargeable when the unsafe condition was within the client’s control.

18. Student and Client Conduct

Students and clients must communicate and behave respectfully.

Noor may suspend or terminate a session or client relationship because of:

Harassment

Threats

Violence

Discriminatory or abusive conduct

Sexual misconduct

Deliberate property damage

Serious disruption

Academic dishonesty

Fraud

Repeated nonpayment

Repeated policy violations

Conduct that compromises safety or professional boundaries

Noor may immediately end a session when safety is at risk.

19. Academic Integrity

Noor provides legitimate educational assistance and does not participate in academic dishonesty.

Noor and its tutors will not knowingly:

Take a test or examination for a student

Impersonate a student

Complete work when assistance is prohibited

Submit work while falsely representing that it was independently completed by the student

Access examination materials unlawfully

Falsify records

Circumvent school security

Violate a school’s academic-integrity requirements

Tutors may explain concepts, model appropriate methods, provide feedback, help students study, and assist students in improving their own work.

Students remain responsible for understanding and following the rules of their school, teacher, testing organization, or educational program.

20. Client-Provided Materials and School Accounts

Clients represent that they are authorized to share any assignments, report cards, evaluations, photographs, records, or other materials provided to Noor.

Clients should not give Noor or its tutors passwords for school portals, email accounts, financial accounts, or other private accounts.

When school-platform information must be reviewed, the student or parent should ordinarily log in and retain control of the account.

Noor may decline to receive, retain, or use information that is unnecessary, highly sensitive, unlawfully obtained, or outside the agreed scope of services.

21. Session Recordings

Noor does not routinely audio-record or video-record tutoring sessions.

No client, student, tutor, or other participant may record, livestream, photograph, automatically transcribe, or otherwise capture a private session without:

Noor’s prior written permission; and

The prior consent of every participant.

When a minor is involved, authorization from the parent or legal guardian is also required.

Any approved recording may be subject to additional written terms concerning its purpose, use, storage, access, retention, and deletion.

Unauthorized recording may result in immediate termination of the session or services.

22. Communications

Clients agree to receive service-related communications concerning:

Appointments

Scheduling

Tutor assignments

Payments

Packages

Program information

Safety concerns

Account or policy changes

Providing a telephone number does not automatically constitute consent to unrelated promotional text messages where separate consent is required.

Marketing consent is not a condition of purchasing tutoring services.

23. Intellectual Property

The Noor name, brand elements, website text, graphics, photographs, program structures, original worksheets, guides, lesson materials, educational resources, and other original content are owned by Noor or used with permission.

A paying client receives a limited, personal, nonexclusive, nontransferable right to use materials for the participating student’s private educational purposes.

Without Noor’s written permission, clients may not:

Republish or sell Noor materials

Upload them to public repositories

Distribute them to unrelated individuals

Remove ownership notices

Use them to operate a competing service

Record and resell instruction

Use Noor’s proprietary materials to train an artificial-intelligence model

Student-created work remains the student’s work, subject to any rights held by a school, publisher, platform, or other third party.

24. Reviews, Testimonials, and Publicity

Submitting a review does not automatically authorize Noor to publish a minor student’s full identity, image, educational records, or private communications.

Separate permission may be requested before Noor uses identifiable photographs, videos, private messages, or detailed student information for advertising.

Noor may quote, display, or link to a review that was voluntarily posted publicly, subject to applicable law and the review platform’s terms.

25. Third-Party Services

Noor’s website and services may use or link to third parties, including Squarespace, Acuity Scheduling, Stripe, Zelle, Google, video-conferencing providers, educational platforms, and review sites.

Noor does not control and is not responsible for a third party’s independent:

Availability

Content

Security

Privacy practices

Terms

Accuracy

Acts or omissions

Use of a third-party platform may also be governed by that provider’s terms and policies.

26. Suspension and Termination

Noor may suspend or terminate services because of:

Nonpayment

Repeated late cancellations

Repeated no-shows

Unsafe or abusive conduct

Academic dishonesty

Fraud

Misuse of Noor materials

Unauthorized recording

Material violation of these Terms

Termination does not eliminate valid amounts already owed.

The treatment of unused prepaid amounts will be determined under the package and refund provisions above and applicable law.

27. Disclaimer of Warranties

To the fullest extent permitted by law, the website, educational materials, and services are provided on an “as available” basis.

Noor does not warrant that:

The website will always operate without interruption

Every instructional explanation or material will be error-free

Third-party platforms will always function properly

A tutor will be a perfect match for every student

Materials will align exactly with every teacher or school curriculum

Services will produce a particular result

Nothing in these Terms excludes a right or warranty that cannot legally be excluded.

28. Limitation of Liability

To the fullest extent permitted by law, Noor and its owners, tutors, employees, contractors, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost admissions, scholarships, educational opportunities, income, or losses caused by third-party technology.

To the fullest extent permitted by law, Noor’s total aggregate liability arising from a particular claim will not exceed the amount paid to Noor for the specific services giving rise to the claim during the six months immediately preceding the event that created the claim.

These limitations do not apply to liability that applicable law does not permit Noor to limit.

29. Indemnification

To the extent permitted by law, the client agrees to indemnify and hold Noor harmless from third-party claims, losses, or reasonable expenses resulting directly from:

The client’s unlawful conduct

Materials the client was not authorized to provide

The client’s material breach of these Terms

Fraudulent or intentionally misleading information

Unauthorized distribution of Noor’s materials

An unsafe condition under the client’s control

This provision does not require a client to indemnify Noor for Noor’s own unlawful conduct.

30. Events Outside Noor’s Reasonable Control

Noor is not responsible for delay or inability to perform caused by circumstances outside its reasonable control, including:

Severe weather

Natural disasters

Power or internet outages

Government actions

Public emergencies

Serious illness

Transportation disruptions

Platform outages

Safety threats

Noor will make reasonable efforts to communicate and reschedule affected services.

31. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute through written notice and reasonable discussion for at least 30 days, unless immediate legal relief is reasonably necessary.

Subject to applicable consumer-protection law, legal proceedings must be brought in a court of competent jurisdiction located in Orange County, Florida.

Either party may pursue an eligible claim in small-claims court.

32. Changes to These Terms

Noor may update these Terms to reflect changes in services, policies, providers, or legal requirements.

The updated Terms will be posted with a revised “Last Updated” date.

Material changes generally apply prospectively. Continued use of the website or purchase of additional services after updated Terms become effective constitutes acceptance of the revised Terms.

33. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

Noor’s decision not to enforce a provision on one occasion does not waive its right to enforce that provision later.

Clients may not assign or transfer their service agreement without Noor’s written permission.

These Terms, the Privacy Policy, and any applicable invoice, package description, or written service agreement constitute the agreement governing Noor’s services.
